Welcome to Mergosoft HRM Software (“Mergosoft”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our HRM software platform and related services (“Service”).
By accessing or using Mergosoft HRM Software, you (“Customer”, “User”, or “You”) agree to comply with and be bound by these Terms. If you do not agree with these Terms, you may not access or use the Service.
To use the Service, you must:
Be at least 18 years of age.
Have the legal authority to bind the organization or business you represent.
Agree to these Terms in full.
Subject to your compliance with these Terms, Mergosoft grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for internal business purposes only.
You may not:
Modify, copy, reproduce, or redistribute the software.
Resell or sublicense the Service to third parties.
Use the Service for any unlawful or unauthorized purpose.
You are responsible for maintaining the confidentiality of your account credentials.
You are liable for all activities under your account.
You must notify us immediately of any unauthorized use or security breach.
You retain ownership of any employee or organizational data you upload to the system (“Customer Data”).
Mergosoft does not claim ownership of your data but requires a license to host, backup, and process it solely to provide the Service.
All data handling practices are governed by our Privacy Policy, which complies with applicable data protection laws (e.g., GDPR, if applicable).
Access to the Service may require a paid subion.
Subion fees are billed monthly or annually in advance, based on your chosen plan.
All payments are non-refundable unless otherwise required by law or under a separate written agreement.
Failure to pay may result in suspension or termination of your access.
Mergosoft will make reasonable efforts to ensure the Service is available 99.5% of the time, excluding scheduled maintenance or outages beyond our control.

SLA details may be governed by a separate agreement.
Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the term of service. Confidential information shall not include:
Publicly available information;
Information already known to the receiving party without breach;
Information disclosed under legal obligation.
These Terms remain in effect until terminated by either party.
You may terminate your subion at any time by written notice.
We may suspend or terminate your access immediately if:
You violate any part of these Terms.
Payment obligations are not met.
Required by law.
Upon termination, your access to the Service will be disabled, and your data may be deleted after [30] days unless otherwise agreed.
Mergosoft retains all intellectual property rights in and to the software, trademarks, logos, and related content.
You may not use our branding without prior written consent.
To the fullest extent permitted by law, Mergosoft shall not be liable for:
Indirect, incidental, special, or consequential damages;
Loss of data, profits, business, or goodwill.
Our total liability under these Terms will not exceed the amount paid by you for the Service in the 12 months preceding the claim.
The Service is provided “as is” and “as available”.
We disclaim all warranties, express or implied, including merchantability or fitness for a particular purpose.
We do not guarantee that the Service will be error-free, secure, or uninterrupted.
You agree to comply with all applicable laws and regulations in connection with your use of the Service, including:
Employment and labor laws relevant to HR data.
Data protection regulations (e.g., GDPR, CCPA, etc.).
Restrictions on exporting software or data across borders, if applicable.
Mergosoft reserves the right to update or modify these Terms at any time. We will provide notice of changes via email or via the software dashboard. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms shall be governed by the laws of India / Tamil Nadu.
Any disputes arising under or in connection with these Terms shall be resolved in the courts of Companies Act, 2013, unless otherwise agreed.
